PROJECT MANAGEMENT INSTITUTE

MILWAUKEE / SOUTHEAST WISCONSIN CHAPTER INC.

Article I – Name, Principal Office; Other Offices.

 

Section 1.  Name/Non-Profit Incorporation.

This organization shall be called the Project Management Institute, Milwaukee / Southeast Wisconsin Chapter (hereinafter the “PMI – Milwaukee Chapter”).  This organization is a Chapter chartered by the Project Management Institute, Inc. (hereinafter “PMI®”) and separately incorporated as a non-profit, tax exempt corporation (501(c) (6) organization) organized under the laws of the State of Wisconsin,  united states of america.
 

Section 2  The PMI – Milwaukee Chapter shall meet all legal requirements in the jurisdiction(s) in which the PMI – Milwaukee Chapter conducts business or is incorporated/registered.

 

Section 3.  Principal Office; Other Offices.

The principal office of the PMI – Milwaukee Chapter shall be located at 3900 W. Brown Deer Road, Suite A, PMB 252, Milwaukee, WI  53209-1220, USA, and the PMI – Milwaukee Chapter may change the location of its principle office or may have other offices such as Branch offices as designated by the PMI – Milwaukee Chapter Board of Directors.
 

Article II – Relationship to PMI®.

 

Section 1.  The PMI – Milwaukee Chapter is responsible to the duly elected PMI® Board of Directors and is subject to all PMI® policies, procedures, rules and directives lawfully adopted.

 

Section 2.   The bylaws of the PMI – Milwaukee Chapter may not conflict with the current PMI®’s Bylaws and all policies, procedures, rules or directives established or authorized by PMI as well as with the PMI – Milwaukee Chapter’s Charter with PMI®.

 

Section 3.  The terms of the Charter executed between the PMI – Milwaukee Chapter and PMI®, including all restrictions and prohibitions, shall take precedence over these Bylaws and other authority granted hereunder and in the event of a conflict between the terms of the Charter and the terms of these Bylaws, the PMI – Milwaukee Chapter shall be governed by and adhere to the terms of the Charter.

 

Article III – Purpose and Limitations of the PMI – Milwaukee Chapter.

 

Section 1.  Purpose of the PMI – Milwaukee Chapter.

  1. General Purpose. The PMI – Milwaukee Chapter has been founded as non-profit; tax exempt Corporation (501(c) (6) organization chartered by PMI®, and is dedicated to advancing the practice, science, and profession of project management in a conscious and proactive manner.

  2. Specific Purposes. Consistent with the terms of the Charter executed between the PMI – Milwaukee Chapter and PMI® and these Bylaws, the purposes of the PMI – Milwaukee Chapter shall include the following:

  1. To advance the value of project management.
  2. To contribute to the quality and scope of project management.
  3. To stimulate appropriate local application of project management for the benefit of general public.
  4. To provide a recognized forum for the free exchange of ideas, applications and solutions to project management issues among its members and other interested and involved in project management.
  5. To identify and promote the fundamentals of project management and advance the body of knowledge for managing projects successfully.
  6. To provide its membership with professional development, mentoring and networking opportunities.


 

Section 2.  Limitations of the PMI – Milwaukee Chapter.

  1. General Limitations. The purposes and activities of the PMI – Milwaukee Chapter shall be subject to limitations set forth in the charter agreement, these Bylaws, and conducted consistently with PMI – Milwaukee Chapter Articles of Incorporation.

  2. The membership database and listings provided by PMI® to the PMI – Milwaukee Chapter may not be used for commercial purposes and may be used only for non-profit purposes directly related to the business of the PMI – Milwaukee Chapter, consistent with PMI® policies and all applicable laws and regulations, including but not limited to those law and regulations pertaining to privacy and use of personal information.

  3. The officers and directors of the PMI – Milwaukee Chapter shall be solely accountable for the planning and operations of the Component, and shall perform their duties in accordance with the Component’s governing documents; its Charter Agreement; PMI®’s Bylaws, policies, practices, procedures, and rules; and applicable law.

 

Article IV – Chapter Membership.

 

Section 1. General Membership Provisions.

  1. Membership in the PMI – Milwaukee Chapter requires membership in PMI®. The PMI – Milwaukee Chapter shall not accept as members any individuals who have not been accepted as PMI® members.

Membership in this organization is voluntary and shall be open to any eligible person interested in furthering the purposes of the organization.  Membership shall be open to all eligible persons without regard to race, creed, color, age, sex, marital status, national origin, religion, or physical or mental disability.

 

  1. Members shall be governed by and abide by the PMI®Bylaws and by the bylaws of the PMI – Milwaukee Chapter and all policies, procedures, rules and directives lawfully made there under, including but not limited to the PMI® Code of Conduct.

 

  1. All members shall pay the required PMI® and PMI – Milwaukee Chapter membership dues to PMI® and in the event that a member resigns or their membership is revoked for just cause, membership dues shall not be refunded by PMI® or the PMI – Milwaukee Chapter.

 

  1. Membership in the PMI – Milwaukee Chapter shall terminate upon the member’s resignation, failure to pay dues or expulsion from membership for just cause.

 

  1. Members who fail to pay the required dues when due shall be delinquent for a period of one (1) month and their names removed from the official membership list of the PMI – Milwaukee Chapter.  A delinquent member may be reinstated by payment in full of all unpaid dues for PMI® and the PMI – Milwaukee Chapter to PMI® within such one month delinquent period.

 

  1. Upon termination of membership in the PMI – Milwaukee Chapter, the member shall forfeit any and all rights and privileges of membership. Only those members in good standing shall have the right to vote on Chapter matters, run for or hold Office as member of the Chapter Board of Directors.

 

Section 2.  Classes and Categories of Members. The PMI – Milwaukee Chapter shall not create its own membership categories. PMI® Component membership categories shall be consistent with PMI® membership categories.

 

Article V – Chapter Board of Directors:

 

Section 1.  The PMI – Milwaukee Chapter shall be governed by an all volunteer Board of Directors (Board).  The Board shall be responsible for carrying out the purposes and objectives of the non-profit corporation.

 

  1. The Board shall consist of the officers of the PMI – Milwaukee Chapter elected by the membership and shall be members in good standing of PMI® and of the PMI – Milwaukee Chapter.  Terms of office for the Officers shall be Two (2) years, beginning January 1st and ending December 31st.  It is the intent and practice of the Chapter that each VICE PRESIDENT position, with the exception of the Immediate Past-President, President Elect and the President, are elected every other year.  The role of PRESIDENT ELECT is filled each year through election.  The individual who fills the role of PRESIDENT ELECT assumes the role of PRESIDENT in the second year of their term and concludes their three year term by filling the role of IMMEDIATE PAST PRESIDENT.  The VICE PRESIDENT OF OPERATIONS, FINANCE and PROGRAMS will be up for election in odd numbered years and the VICE PRESIDENT OF ADVANCEMENT and OUTREACH will be up for election in even numbered years.  The DIRECTORS shall be appointed by the VICE PRESIDENT and subject to Board approval.  The DIRECTORS shall perform as program managers and hold non-voting positions whereas the VICE PRESIDENTS shall perform as portfolio managers and hold voting positions. No board member will serve on the board of directors for more than eight consecutive years.  If no qualified candidate steps forward to serve in the elected position, the previous officer can serve for up to one additional year, with a majority vote from the current board members.

 

  1. Role Definitions:  All officer duties shall be defined in a Statement of Duties document which must be adopted by the Board of Directors during the January Board meeting.  The Statement of Duties can be amended by the Board as needed during the year.

 

Section 2. The PRESIDENT shall be the chief executive officer for the PMI – Milwaukee Chapter and of the Board, and shall perform such duties as are customary for presiding officers, including making all required appointments with the approval of the Board.  The PRESIDENT shall also serve as a member ex-officio with the right to vote on all committees except the Nominating Committee.  He/She shall also perform the following duties:

    1. Preside over all chapter meetings, and serve as the senior executive of the PMI – Milwaukee Chapter.

    2. Monitor all committee assignments and activities and ensure committee actions are compliant with the interests of the PMI – Milwaukee Chapter, PMI® and related bylaws of same.

    3. Encourage members to participate in PMI – Milwaukee Chapter activities and governance of the PMI – Milwaukee Chapter.

    4. Provide guidance and direction to the PMI – Milwaukee Chapter officers in performance of their respective duties and ensure officer actions are compliant with the interests of the PMI – Milwaukee Chapter, PMI® and related bylaws of same.

    5. Appoint members to vacant Board positions, subject to the Board’s approval.

    6. Appoint members to special committees or non-voting Board positions, subject to the Board’s approval, to carry out the needs of the PMI – Milwaukee Chapter.

    7. Submit the required Annual report to PMI® and keep current with PMI® all required information on PMI – Milwaukee Chapter officers and other PMI – Milwaukee Chapter matters.

    8. Regularly review PMI – Milwaukee Chapter financial reports and ensure all financial transactions are conducted with interests of the PMI – Milwaukee Chapter and proper checks and balances are followed.

    9. Coordinate activities with the Immediate Past-President and President Elect and delegate duties to either officer as circumstances may require.

    10. Serve as Immediate Past-President in the year following completion of term as President.

    11. Ensure the membership is kept apprised of PMI – Milwaukee Chapter events and activities, election results and other important matters.

    12. Ensure that officers and committee members are recognized and rewarded for their contributions with appropriate PDU’s and other approved means by December 31st of each year.

    13. Provide all personal information as may be required to permit the PMI – Milwaukee Chapter to conduct a background check on such frequency as the Board may decide, but no less frequently than prior to assuming office.

 

Section 3.  The VICE PRESIDENT OF OPERATIONS shall keep the records of all business meetings of the PMI – Milwaukee Chapter and meetings of the Board. He/She shall also perform the following duties:

  1. Obtain committee members, assign duties and supervise the activities of committee members to carry out the duties defined herein.

    1. Committee members include, but are not limited to, the DIRECTOR OF COMMUNICATIONS and DIRECTOR OF TECHNOLOGY

  2. Assist with the publication and communication of chapter events.

  3. Prepare and issue the minutes of the Board and Chapter meetings in a timely manner.

  4. Keep all PMI – Milwaukee Chapter records.

  5. Publish all notices, announcements, chapter business and related matters as may be directed or approved by the Immediate Past-President, president or President-Elect.

 

Section 4.  The VICE PRESIDENT OF FINANCE shall oversee the management of funds for duly authorized purposes of the PMI – Milwaukee Chapter. He/She shall also perform the following duties:

    1. Prepare a yearly operating budget and facilitate Board approval no later than January 31st of each year.

    2. Actively monitor, track and record all financial transactions.

    3. Provide a detail and summary reports on such transactions, and budget performance to plan, to the Board for each monthly Board meeting on a monthly basis.

    4. Organize, and negotiate payment of all financial commitments on behalf of the PMI – Milwaukee Chapter and ensure that payments are made in a timely manner.

    5. Ensure that PMI – Milwaukee Chapter receivables are collected and deposited in a timely manner.

    6. Subject to Board approval, establish and maintain appropriate checks and balances for all financial transactions, and supervise 3rd party financial/accounting/tax preparation service providers.

    7. Ensure all reports, forms, tax statements and other documents required by Federal, State, or local governmental authorities are prepared and submitted in a timely manner.

    8. Ensure that the PMI – Milwaukee Chapter insurance coverage is kept current, timely notices of PMI – Milwaukee Chapter activities are made in accordance with insurance provisions, and PMI – Milwaukee Chapter activities comply with all insurance risk mitigation provisions.

    9. Assist the President in preparing PMI – Milwaukee Chapter charter renewal and other yearly reports required by PMI®.

    10. Maintain financial records and records of all PMI – Milwaukee Chapter assets.

    11. Provide all personal information as may be required to permit the PMI – Milwaukee Chapter to conduct a background check on such frequency as the Board may decide, but no less frequently than prior to assuming office.

 

Section 5. THE IMMEDIATE PAST-PRESIDENT serves as the chair of the nominations committee and the strategic planning for the PMI – Milwaukee Chapter. The Immediate Past-President also serves as the senior resource for matters related to historical board activities and actions of the PMI – Milwaukee Chapter. He/She shall also perform the following duties:

    1. At the request of the President, act for the President in his/her absence.

    2. Establish and chair the Nominations Committee for the yearly election of PMI – Milwaukee Chapter Board of Directors.

    3. Plan, organize and conduct the yearly election of PMI – Milwaukee Chapter Board of Directors and report results to the President and current Board.

    4. Establish and chair the Strategic Planning Committee.

    5. Regularly review PMI – Milwaukee Chapter financial reports and ensure all financial transactions are conducted with interests of the PMI – Milwaukee Chapter and proper checks and balances are followed.

 

Section 6. THE PRESIDENT ELECT is responsible for special projects assigned by the PMI – Milwaukee Chapter President, serving as the primary back up for the PMI – Milwaukee Chapter President in his/her absence and responsible for the oversight of Professional Development Day planning. He/She shall also perform the following duties:

  1. At the request of the President, act for the President in his/her absence and assume the office of the President if vacant.

  2. Conduct the duties and responsibilities delegated by the President.

  3. Oversee the planning of Professional Development day with the Director of the Professional Development Day.

      1. Committee members include, but are not limited to, the DIRECTOR OF PROFESSIONAL DEVELOPMENT DAY

  4. Serve as President in the year following the term as President Elect and serve as Immediate Past-President following the term as President.

  5. During term proactively engage with the President, Immediate Past-President and other officers to prepare for assuming future duties as President.

  6. Provide all personal information as may be required to permit the PMI – Milwaukee Chapter to conduct a background check on such frequency as the Board may decide, but no less frequently than prior to assuming office.

 

Section 7. The VICE PRESIDENT OF PROGRAMS is responsible for planning, organizing and delivering of the PMI – Milwaukee Chapter meetings which are held each month. He/She shall also perform the following duties:

  1. Obtain committee members, assign duties and supervise the activities of committee members to carry out the duties defined herein.

      1. Committee members include, but not limited to, the DIRECTOR OF DINNER EVENTS, DIRECTOR OF SPEAKERS, DIRECTOR OF BREAKFAST EVENTS

  2. Supervise 3rd party service providers assisting with delivery of Programs.

  3. Ensure timely notification and presentation of programs for each scheduled PMI – Milwaukee Chapter meeting.

  4. Obtain speakers, plan content, direct the preparation of and conduct each scheduled PMI – Milwaukee Chapter meeting.

  5. Obtain speakers, plan content, direct the preparation of and conduct such other regular scheduled PMI – Milwaukee Chapter meetings as the Board may approve.

 

Section 8. The VICE PRESIDENT OF ADVANCEMENT is responsible for PMP exam study groups, volunteerism and mentorship programs. He/She shall also perform the following duties:

  1. Obtain committee members, assign duties and supervise the activities of volunteering, mentoring and study group facilitator committee members to carry out the duties defined herein.

      1. Committee members include, but not limited to,  the DIRECTOR OF STUDY GROUPS, DIRECTOR OF VOLUNTEERISM, DIRECTOR OF MENTORING and the SPECIAL EVENTS COORDINATOR.

 

Section 9. The VICE PRESIDENT OF OUTREACH is responsible for forming alliances and partnerships with other organizations and companies, and promoting awareness of the project management profession among high school and middle school students. He/She shall also perform the following duties:

  1. Obtain committee members, assign duties and supervise the activities of committee members as necessary to carry out the duties defined herein.

      1. Committee members include, but not limited to, the DIRECTOR OF EDUCATION OUTREACH, DIRECTOR OF BUSINESS OUTREACH and DIRECTOR OF MARKETING

  2. Establish and maintain relationships with other professional associations, organizations, companies and educational groups.

  3. Develop and implement membership participation in appropriate outreach activities.

  4. Proactively promote awareness of the project management profession and chapter activities among possible sponsors within the business community.

 

Section 10.  The Board shall exercise all powers of the PMI – Milwaukee Chapter, except as specifically prohibited by these bylaws, the PMI® Bylaws and policies, its charter with PMI®, and the laws of the jurisdiction in which the organization is incorporated/registered.  The Board shall be authorized to adopt and publish such policies, procedures and rules as may be necessary and consistent with these bylaws and PMI® Bylaws and policies, and to exercise authority over all PMI – Milwaukee Chapter business and funds.

 

Section 11.  The Board shall meet at the call of the President, or Immediate Past-President, or the President-Elect, or at the written request of three (3) members of the Board.  A quorum shall consist of no less than one-half of the membership of the Board at any given time.  Each member shall be entitled to one (1) vote and may take part and vote in person only.  At its discretion, the Board may conduct its business by teleconference, facsimile or other legally acceptable means.  Meetings shall be conducted in accordance with parliamentary procedures determined by the Board.

 

Section 12.  The Board of Directors shall declare an officer position to be vacant where an officer ceases to be a member in good standing of PMI® or of the PMI – Milwaukee Chapter by reason of non-payment of dues, or may declare an officer position to be vacant where the officer fails to regularly attend Board meetings or fails to fulfill their responsibilities, or fails to represent the PMI – Milwaukee Chapter in a professional and ethcial manner. An officer may resign by submitting written notice to the President. Unless another time is specified in the notice or determined by the Board, the resignation shall be effective upon receipt by the Board of the written notice.

Section 13. An officer may be removed from office for just cause in connection with the affairs of the organization by a two-thirds (2/3) vote of the members present and in person at an official meeting of the membership, or by a two-thirds (2/3) vote of the Board.

 

Section 14.  If any officer position becomes vacant, the President, subject to affirmation by the Board, may appoint a successor to fill the office for the unexpired portion of the term for the vacant position.  In the event the President is unable or unwilling to complete the current term of office, the President-Elect shall assume the duties and office of the presiding officer for the remainder of the term. If the President-Elect is unable or unwilling to assume the duties of the President and complete the current term of office, the Immediate Past-President may assume the role of President or, in the event the President-Elect fails to assume the role of President during the normal transition period, the President and Immediate Past-Presidents shall retain their roles for another cycle.

 

Article VI – PMI – Milwaukee Chapter Nominations and Elections:

 

Section 1.  The nomination and election of officers shall be conducted annually in accordance with the terms of office specified in Article IV, Section 1 and Article V, Section 2.  All voting members in good standing of the PMI – Milwaukee Chapter shall have the right to vote in the election.  Discrimination in election and nomination procedures on the basis of race, color, creed, gender, age, marital status, national origin, religion, physical or mental disability, or unlawful purpose is prohibited.

 

Section 2.  Candidates who are elected shall take office on the first day of January following their election, and shall hold office for the duration of their terms or until their successors have been elected and qualified.

 

Section 3.  A Nominating Committee shall prepare a slate containing nominees for each Board position and shall determine the eligibility and willingness of each nominee to stand for election.  Candidates for Board positions may also be nominated by petition process established by the Nominating Committee or the Board.  Elections shall be conducted by electronic vote in compliance with the legal jurisdiction.  The candidate who receives a majority of votes cast for each office shall be elected.  Ballots shall be counted by the Nominating Committee or by tellers designated by the Board.

 

Section 4.  No current member of the Nominating Committee shall be included in the slate of nominees prepared by the Committee.

 

Section 5. In accordance with PMI policies, practices, procedures, rules and directives, no funds or resources of PMI or the Component may be used to support the election of any candidate or group of candidates for PMI, Component or public office.  No other type of organized electioneering, communications, fund-raising or other organized activity on behalf of a candidate shall be permitted.  The Component Nominating Committee, or other applicable body designated by the Component, will be the sole distributor(s) of all election materials for Component elected positions.

 

Article VII – PMI – Milwaukee Chapter Committees:

 

Section 1.  The Board may authorize the establishment of standing or temporary committees to advance the purposes of the organization.  The Board shall establish a charter for each committee, which defines its purpose, authority and outcomes.  Committees are responsible to the Board Member leading the committee.  Committee members shall be appointed from the membership of the organization. Individuals who are non-members may serve on a committee only upon approval of the Board. The Officers and/or Directors may serve on the Committees, unless it specifically is restricted by the Bylaws.

 

Section 2.  All committee members and a chairperson for each committee shall be appointed by the Board Member leading the committee with the approval of the Board.

 

Article VIII - PMI – Milwaukee Chapter Finance:

 

Section 1.  The fiscal year of the PMI – Milwaukee Chapter shall be from 1 January to 31 December.

 

Section 2. PMI – Milwaukee Chapter annual membership dues shall be set by the PMI – Milwaukee Chapter’s  Board and communicated to PMI® in accordance with policies and procedures established by PMI®.

 

Section 3.  The PMI – Milwaukee Chapter Board shall establish policies and procedures to govern the management of its finances and shall submit required tax filings to appropriate government authorities.

 

Section 4.  All dues billings, dues collections and dues disbursements shall be performed by PMI®.

 

Article IX – Meetings of the Membership:

 

Section 1.  An annual meeting of the membership shall be held at a date and location to be determined by the Board.

 

Section 2.  Special meetings of the membership may be called by the President, by a majority of the Board, or by petition of ten percent (10%) of the voting membership directed to the President.

 

Section 3.  Notice of all annual meetings shall be sent by the Board to all members at least 15 days in advance of the meeting.  Action at such meetings shall be limited to those agenda items contained in the notice of the meeting.

 

Section 4.  Notice of all special meetings shall by sent by the Board in advance to those who will participate.  The notice should indicate the time and place of the meeting and include the proposed agenda.  Action at such meetings shall be limited to those agenda items contained in the notice of the meeting.

 

Section 5.  Quorum at all annual and special meetings of the PMI – Milwaukee Chapter shall be ten percent (10%) of the voting membership in good standing, present and in person.

Section 6.  All meetings shall be conducted according to parliamentary procedures determined by the Board.

 

Article X – Branches of the PMI – Milwaukee Chapter.

 

Section 1.  Establishing a Branch.

Upon written permission granted by PMI® via the charter agreement, the PMI – Milwaukee Chapter shall be permitted to organize its members who reside in geographically limited areas in groups (hereinafter “Branch”) for the purpose of delivering its services locally. A Branch of PMI – Milwaukee Chapter shall be governed by these Bylaws and shall conduct its business in compliance with PMI – Milwaukee Chapter’s policies and procedures and its charter with PMI®.

 

Section 2. Geographic Area.

Each Branch formed to service a defined geographic area will not extend its services beyond the geographic boundaries defined by the PMI – Milwaukee Chapter.

 

Section 3.  Distribution of Dues.

All PMI – Milwaukee Chapter dues & fees will be collected by PMI® on behalf of the PMI – Milwaukee Chapter and will be forwarded to PMI – Milwaukee Chapter.  The PMI – Milwaukee Chapter will allocate funds to the Branch in accordance to PMI – Milwaukee Chapter’s policies & procedures. Branches shall not create their own membership or dues.

 

Section 4.  The Branch Chair shall either be a member of PMI – Milwaukee Chapter’s Board of Directors, or be a Committee Chair and report into a PMI – Milwaukee Chapter Board member who oversees the PMI – Milwaukee Chapter’s Branch (es).

 

Section 5.  Limitations.

Branches shall abide by the limitations consistent with the PMI – Milwaukee Chapter’s charter agreement with PMI®.

 

Article XI - Inurement and Conflict of Interest:

Section 1.  No member of the PMI – Milwaukee Chapter shall receive any pecuniary gain, benefit or profit, incidental or otherwise, from the activities, financial accounts and resources of the PMI – Milwaukee Chapter, except as otherwise provided in these bylaws.

 

Section 2. No officer, director, appointed committee member or authorized representative of the PMI – Milwaukee Chapter shall receive any compensation, or other tangible or financial benefit for service on the Board.  However, the Board may authorize payment by the PMI – Milwaukee Chapter of actual and reasonable expenses incurred by an officer, director, committee member or authorized representative regarding attendance at Board meetings and other approved activities.

 
Section 3. PMI – Milwaukee Chapter may engage in contracts or transactions with members, elected officers or directors of the Board, appointed committee members or authorized representatives of PMI – Milwaukee Chapter and any corporation, partnership, association or other organization in which one or more of PMI – Milwaukee Chapter’s directors, officers, appointed committee members or authorized representatives are: directors or officers, have a financial interest in, or are employed by the other organization, provided the following conditions are met:
 

  1. The facts regarding the relationship or interest as they relate to the contract or transaction are disclosed to the board of directors prior to commencement of any such contract or transaction;
  2. The board in good faith authorizes the contract or transaction by a majority vote of the directors who do not have an interest in the transaction or contract;
  3. The contract or transaction is fair to PMI – Milwaukee Chapter and complies with the laws and regulations of the applicable jurisdiction in which PMI – Milwaukee Chapter is incorporated or registered at the time the contract or transaction is authorized, approved or ratified by the board of directors.


 

Section 4.  All officers, directors, appointed committee members and authorized representatives of the PMI – Milwaukee Chapter shall act in an independent manner consistent with their obligations to the PMI – Milwaukee Chapter and applicable law, regardless of any other affiliations, memberships, or positions.

 
Section 5. All officers, directors, appointed committee members and authorized representatives shall disclose any interest or affiliation they may have with any entity or individual with which the PMI – Milwaukee Chapter has entered, or may enter, into contracts, agreements or any other business transaction, and shall refrain from voting on, or influencing the consideration of, such matters.
 

Article XII - Indemnification:

 

Section 1.  In the event that any person who is or was an officer, director, committee member, or authorized representative of the PMI – Milwaukee Chapter, acting in good faith and in a manner reasonably believed to be in the best interests of the PMI – Milwaukee Chapter, has been made party, or is threatened to be made a party, to any civil, criminal, administrative, or investigative action or proceeding (other than an action or proceeding by or in the right of the corporation), such representative may be indemnified against reasonable expenses and liabilities, including attorney fees, actually and reasonably incurred, judgments, fines and amounts paid in settlement in connection with such action or proceeding to the fullest extent permitted by the jurisdiction in which the organization is incorporated.  Where the representative has been successful in defending the action, indemnification is mandatory.

 

Section 2.  Unless ordered by a court, discretionary indemnification of any representative shall be approved and granted only when consistent with the requirements of applicable law, and upon a determination that indemnification of the representative is proper in the circumstances because the representative has met the applicable standard of conduct required by law and in these bylaws.

 

Section 3.  To the extent permitted by applicable law, the PMI – Milwaukee Chapter may purchase and maintain liability insurance on behalf of any person who is or was a director, officer, employee, trustee, agent or authorized representative of the PMI – Milwaukee Chapter, or is or was serving at the request of the PMI – Milwaukee Chapter as a director, officer, employee, trustee, agent or representative of another corporation, domestic or foreign, non-profit or for-profit, partnership, joint venture, trust or other enterprise.

 

Article XIII- Amendments:

 

Section 1.  These bylaws may be amended by a two-thirds (2/3) vote of the voting membership in good standing present at an annual meeting of the PMI – Milwaukee Chapter duly called and regularly held; or by a two-thirds (2/3) vote of the voting membership in good standing voting by electronic ballot returned within thirty (30) days of the date by which members can reasonably be presumed to have received the ballot.  Notice of proposed changes shall be sent in writing to the membership at least thirty (30) days before such meeting or vote.

 

Section 2.  Amendments may be proposed by the Board on its own initiative, or upon petition by ten percent (10%) of the voting members in good standing addressed to the Board.  All such proposed amendments shall be presented by the Board with or without recommendation.

 

Section 3.  All amendments must be consistent with PMI®’s Bylaws and the policies, procedures, rules and directives established by the PMI® Board of Directors, as well as with the PMI – Milwaukee Chapter’s Charter with PMI®.

 

Article XIV – Dissolution:

 

Section 1.  In the event that the PMI – Milwaukee Chapter or its governing officers failed to act according to this bylaws and PMI – Milwaukee Chapter’s or all PMI® policies, procedures, and rules outlined in the charter agreement,  PMI® has a right to dissolve the PMI – Milwaukee Chapter.

 

Section 2.  In the event the PMI – Milwaukee Chapter failed to deliver value to its members as outlined in PMI – Milwaukee Chapter’s business plan and without mitigated circumstance, the Component acknowledges that PMI® has a right to dissolve the PMI – Milwaukee Chapter, as per the terms of the Charter.

 

Section 3.  In the event the PMI – Milwaukee Chapter is considering to dissolve the PMI – Milwaukee Chapter. The PMI – Milwaukee Chapter’s members of the Board of Director must notify PMI® in writing and follow the component dissolution procedure as defined in PMI®’s policy.

 

Section 4.  Should the PMI – Milwaukee Chapter dissolve for any reason, its assets shall be dispersed to a charitable organization designated by the voting membership after the payment of just, reasonable and supported debts, consistent with applicable legal requirements.
